BMRN Buys Alesta: $275M for First Oral HPP Therapy

BioMarin Pharmaceutical (Nasdaq: BMRN) is buying its way into an oral treatment for a rare bone disease it already understands well. On August 18, the company agreed to acquire Alesta Therapeutics for $275 million upfront plus up to $215 million in development and regulatory milestones, gaining ALE1, an oral small molecule for hypophosphatasia (HPP).

HPP is a rare genetic bone disease caused by mutations in the ALPL gene that disrupt bone and tooth mineralization, leading to fractures, early tooth loss, and in adults muscle weakness and fatigue. More than 9,000 US patients are diagnosed, and the condition is widely underdiagnosed, especially in its milder adult form. The only approved disease-modifying therapy is asfotase alfa (Strensiq, sold by AstraZeneca’s Alexion), an enzyme replacement given by injection.

ALE1 takes a different approach. It is designed to inhibit a novel target that regulates inorganic pyrophosphate (PPi), the metabolite at the center of HPP pathology. In preclinical studies, ALE1 consistently reduced PPi levels across multiple animal models after oral dosing. Lowering excess PPi, the company argues, could restore bone and mineral metabolism across the full spectrum of the disease. If it works, ALE1 would be the first oral therapy for HPP, a meaningful convenience improvement over lifelong injections. Alesta notes that enzyme replacement is not approved for adults, leaving a large patient segment without a sustainable long-term option.

The asset is still early. ALE1 is in a Phase 1/2a trial assessing safety, tolerability, and pharmacokinetics in healthy volunteers and adults with HPP. Approval is years away, and Alesta will spin out its non-ALE1 assets before the deal closes, which BioMarin expects this quarter.

BMRN closed at $67.68 on August 21 (Polygon), with a market cap near $13.1 billion, so the deal is a bolt-on rather than a bet-the-company move. It slots ALE1 into BioMarin’s skeletal conditions franchise alongside Voxzogo (vosoritide) for achondroplasia, extending the company’s rare-disease reach into a larger, earlier-stage market.

The risk is the usual one for Phase 1/2a assets: the mechanism is unproven in a registrational trial, and AstraZeneca’s entrenched injectable is a formidable incumbent. But for a company that has built its franchise on rare skeletal disease, the strategic fit is clean, and the deal follows BioMarin’s pattern of small bolt-on acquisitions that backfill a clinical pipeline as its Voxzogo growth story matures.
